These terms govern your use of our website and any services you engage us for. We've written them to be as clear and fair as possible — no gotchas, no fine print tricks.

Acceptance of terms

Agreement to these terms

By accessing our website or engaging StartupSense for any service, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.

Who we are

StartupSense is a digital services studio registered in Nepal. We provide design, engineering, and strategy services to startups and growing businesses. References to 'we', 'us', or 'our' refer to StartupSense.

Changes to these terms

We reserve the right to update these terms at any time. We will notify active clients of material changes via email. Continued use of our services after changes constitutes acceptance of the revised terms.

Our services

Scope of work

All services are scoped and agreed upon in a written proposal or statement of work (SOW) prior to commencement. Work outside the agreed scope will be quoted and billed separately.

Client responsibilities

You agree to provide timely feedback, access to necessary accounts and assets, and any content or materials required for the project. Delays caused by late client feedback may affect delivery timelines and are not the responsibility of StartupSense.

Third-party services

Our work may involve third-party platforms, tools, or APIs (e.g. hosting providers, payment gateways). We are not responsible for the availability, pricing, or terms of those third-party services.

Payment terms

Invoicing and payment

Unless otherwise agreed in writing, a 50% deposit is required before work begins. The remaining balance is due upon project completion before final files or code are handed over. Invoices are payable within 14 days of issue.

Late payments

Overdue invoices may incur a late fee of 2% per month on the outstanding amount. We reserve the right to pause active work on any project with an overdue balance.

Refunds

Deposits are non-refundable once work has commenced. If a project is cancelled by the client mid-way, fees for work completed to that point remain payable. Refunds are issued at our sole discretion.

Intellectual property

Ownership upon full payment

Upon receipt of full payment, all custom design and code created specifically for your project transfers to you. You will own the final deliverables outright.

Our retained rights

We retain the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing. We also retain ownership of any internal tools, frameworks, or methodologies used in delivery that are not specific to your project.

Third-party assets

Any stock assets, fonts, or licensed software included in your project remain subject to their original licences. It is your responsibility to ensure continued compliance with those licences after handover.

Limitation of liability

No warranty

Our services are provided on an 'as is' basis. We make no warranties — express or implied — regarding outcomes, uptime, or fitness for a particular purpose beyond what is explicitly agreed in the project scope.

Liability cap

To the maximum extent permitted by applicable law, StartupSense's total liability arising from or related to any project shall not exceed the total fees paid by you for that project in the three months preceding the claim.

Indirect damages

We are not liable for any indirect, incidental, or consequential damages — including loss of revenue, data, or business opportunity — even if we have been advised of the possibility of such damages.

Termination

Termination by you

You may terminate a project engagement at any time by giving written notice. Fees for work completed up to the termination date remain payable in full.

Termination by us

We reserve the right to terminate a project if the client engages in abusive behaviour toward our team, fails to make payment, or acts in a way that is unlawful or materially breaches these terms.

Governing law

These terms are governed by the laws of Nepal. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.
